License Terms

Important notice: Our software products and services are offered exclusively to business customers. By placing an order, you confirm that you are acting in a business capacity.

These license terms apply to all software products and extensions offered by SoftwareSilo LLC. By ordering, installing, or using the software, you accept the version of these terms in effect when the contract is formed.

After full payment, the customer receives a non-exclusive, perpetual, and non-transferable right to use the software versions lawfully obtained within the agreed scope.

One license covers one production Magento installation and its assigned license domain. The installation may use multiple servers or technical nodes for high availability, scaling, deployment, and backups. Multiple stores and websites within the same Magento installation are included.

The customer may also operate any number of development, testing, and staging environments, provided that they serve only the licensed production installation and are not used as additional production systems.

Each legally independent company requires its own license, including companies that share the same technical installation. SaaS, multi-tenant, and franchise models require a separate agreement or separate licenses for each company.

The software is provided with accessible source code. The customer may modify it for the licensed installation and create the backup copies required for that use.

Employees and contracted developers, agencies, or other service providers may access the software where necessary to work on the licensed installation. The customer must require them to keep the software confidential and remains responsible for their use. Copies and credentials that are no longer required must be deleted when the work ends.

The customer may not sell, give away, rent, lease, lend, sublicense, or otherwise provide the software or any part of it to third parties outside the scope described in section 1. Publishing source code or repository credentials, including publication in public or inadequately protected repositories, is prohibited.

The source code may not be used as the basis for a separate distributable product or for unlicensed installations. Copyright, license, and ownership notices contained in the source code may not be removed or obscured.

After full payment, the software is made available through the SoftwareSilo customer account and Composer repository. The required credentials are delivered electronically.

The perpetual usage right covers all versions lawfully obtained during a valid entitlement period. Access to newly released versions and support services requires an active support and update period for the relevant Composer package. After that period expires, the customer may continue using versions already obtained but will not receive new versions or support until the period is renewed.

Where the software contains open-source or other third-party components, those components are also governed by their respective license terms. Rights in those components are granted only to the extent provided by those licenses.

SoftwareSilo LLC may use technical measures to verify a license and determine whether individual packages may be downloaded. This may include processing the license token, license domain, requested package, and connection or download information required for authentication, security, and abuse prevention. Further details are provided in the Privacy Policy.

Repository and license credentials must be kept confidential. The customer must notify SoftwareSilo LLC without undue delay if credentials have been disclosed or are suspected of misuse.

For a material breach, the customer will receive 14 days from receipt of notice to remedy the breach. If the breach is not remedied in time, SoftwareSilo LLC may suspend repository access and terminate the affected license. Following termination, the customer must stop using the software and delete all copies under its control unless retention is required by law.

SoftwareSilo LLC may suspend access immediately in cases of intentional unauthorized distribution, public disclosure of source code, misuse of credentials, or an imminent threat to system security. The customer will be informed of the suspension.

For a breach of these license terms, SoftwareSilo LLC may report the violation to criminal authorities and demand USD 25,000 as compensation for each case of damage. SoftwareSilo LLC is not required to prove actual damage. SoftwareSilo LLC may also discontinue access in accordance with this section.

SoftwareSilo LLC warrants the functions described for the relevant product on a supported, freshly installed Magento version, provided that no customization or third-party extension affects its behavior. No unrestricted functional guarantee is given for individually customized systems.

Defects may be reported by email or through the ticket system. If reported behavior cannot be reproduced on SoftwareSilo LLC systems, the customer may commission an investigation of its own environment. If the cause lies in the customer-specific environment, a customization, or a third-party component, SoftwareSilo LLC may charge for the work according to the applicable price list.

The provisions on defects and liability in the General Terms and Conditions apply in all other respects.

SoftwareSilo LLC and the respective rights holders retain all rights in the software that are not expressly granted to the customer. Customer modifications do not expand the agreed license scope and do not create a right to distribute the original software.

Individual written agreements and the information stated in the order take precedence over these license terms. These license terms then govern use of the software, supplemented by the General Terms and Conditions.

A license remains governed by the version agreed when it was purchased. A later version applies to future orders and renewals unless expressly agreed otherwise.
